By downloading, copying, accessing or otherwise using spreadsheet templates, calculators, forms and documents (the SOFTWARE), you agree to be bound by the general Terms of Use of this website and terms of this End User License Agreement as well as other terms expressly included within the software on a separate worksheet or as a pop-up comment in the cell containing the copyright notice.

The SOFTWARE and associated content is considered an intellectual property of Spreadsheet123 LTD and protected by intellectual property and copyright laws of United Kingdom and other intellectual property and copyright treaties.
1. GRANT OF LICENSE.
This EULA grants you the right to download the SOFTWARE for your personal use, use within your immediate family or for use within your company or organization and strictly prohibits public sharing or resale. You may customize this template with your specific personal or company information and use and distribute this template and any documents including or derived from this template within your company, but you may NOT sell, resell, license, rent, lease, lend, or place on the public server (Internet), publish to an online gallery or otherwise transfer for value without written permission of SPREADSHEET123.COM.
You may not remove or alter Spreadsheet123 logo, trademark, copyright notices, hyperlinks, disclaimers, brand, attribution, terms of use or other proprietary notices or marks within the SOFTWARE.
2. TERMINATION.
Without prejudice to any other rights, Spreadsheet123.com may terminate this EULA if you fail to comply with the terms of this EULA in full or any part. In such event, you must destroy all copies of the SOFTWARE.
3. NOTICE SPECIFIC TO THE SOFTWARE
We warrant that for a period of 60 days after delivery of the Software to you purchased on Spreadsheet123.com via CLICKBANK, we will refund your payment, should you require us to do so, provided that you destroy all copies of the Software and Documentation in your possession.
No Warranties
THE SOFTWARE AND ANY RELATED DOCUMENTATION ARE PROVIDED TO YOU "AS IS." SPREADSHEET123, LTD MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AND EXPRESSLY DISCLAIMS ALL REPRESENTATIONS, ORAL OR WRITTEN, TERMS, CONDITIONS, AND WARRANTIES, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WITHOUT LIMITING THE ABOVE YOU ACCEPT THAT THE SOFTWARE MAY NOT MEET YOUR REQUIREMENTS, OPERATE ERROR FREE, OR IDENTIFY ANY OR ALL ERRORS OR PROBLEMS, OR DO SO ACCURATELY. THIS AGREEMENT DOES NOT AFFECT ANY STATUTORY RIGHTS YOU MAY HAVE AS A CONSUMER.
Limitation of Liability
IN NO EVENT SHALL SPREADSHEET123, LTD BE LIABLE TO YOU, FOR ANY DAMAGES, INCLUDING ANY LOST PROFITS, LOST SAVINGS, OR ANY OTHER DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OR THE INABILITY TO USE THE SOFTWARE INCLUDING ANY EVENTS WHERE WE OR AN AUTHORIZED DEALER OR DISTRIBUTOR HAS BEEN ADVISED OF THE POSSIBILITY OF THESE DAMAGES, OR ANY MISTAKES AND NEGLIGENCE IN DEVELOPING THIS SOFTWARE, OR FOR ANY CLAIM BY ANY OTHER PARTY. BY DOWNLOADING, ACCESSING AND USING THIS SOFTWARE THE ORGANIZATION, BUSINESS, OR PERSON BEARS ALL RISKS AND RESPONSIBILITY FOR THE QUALITY AND PERFORMANCE OF THIS SOFTWARE.
4. MISCELLANEOUS.
Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you.
